Judge dismisses suit

to delay merger vote

A suit by a Uniti Group Inc. shareholder seeking to postpone the upcoming vote on the proposed merger of Uniti and Windstream Holdings Inc. was dismissed with prejudice on Friday.

Shareholder Robert Garfield’s suit contended Uniti and its board of directors, along with Windstream and Windstream Parent Inc., among others, issued a joint proxy statement outlining the sale that did not fully disclose the “questionable economics” of the deal or the board’s “personal financial interests” in promoting the merger.

Both the shareholder and the defendants requested the suit filed in Pulaski County Circuit Court be dismissed with prejudice. Judge Timothy Davis Fox ordered the dismissal, according to court documents. A dismissal with prejudice prevents further litigation on the claim in that court.

Shareholders of Uniti are scheduled to vote online Wednesday on its acquisition of former sister company Windstream Holdings Inc. If approved by shareholders, the $13.2 billion merger between the two Little Rock-based communications companies is expected to close midyear.

The combined company would be the largest independent fiber provider in the nation. It would be led by Uniti’s executives and employ about 10,000.

Rogers-based True North is licensed in Arkansas, Missouri, Oklahoma, Louisiana and Kansas. The company is an independent brokerage with 27 real estate agents and has helped 231 clients in the past year.

Jeff Clifton, co-owner of True North, said the infrastructure, innovation and agent-centric culture at Keller Williams is what the company needed to expand its vision without sacrificing the service it is known for.

Clifton clarified True North will operate under the Keller Williams umbrella, with the difference being they will be a team under the company rather than their own independent agency.

“For us that gives us a better platform, better processes, better systems, better training than what we felt like we could provide in our growth,” he said.

Arkansas Index down

13.20 at close Friday

The Arkansas Index, a price-weighted index that tracks the largest public companies based in the state, closed Friday at 828.71, down 13.20 points.

Only one stock, Uniti Group Inc., was up for the day; the other 12 stocks on the index were down.

The index was developed by Bloomberg News and the Democrat-Gazette with a base value of 100 as of Dec. 30, 1997.
