Bajaj Auto Limited announced that its wholly owned subsidiary, Bajaj Auto International Holdings B.V. (BAIH), has received approval from the Austrian Takeover Commission for its planned acquisition of control in Pierer Bajaj AG (PBAG), and thereby indirect control in PIERER Mobility AG (PMAG) and KTM AG, Austria.
The Commission’s decision, dated October 23, 2025, confirms that the acquisition qualifies as a “restructuring privilege”, meaning BAIH will not be required to make a mandatory takeover offer to PMAG shareholders. The company received the formal communication early on October 24, 2025, at 2:10 AM IST.
Regulatory approvals secured
Bajaj Auto stated that the acquisition has now secured clearances from multiple jurisdictions, including:
- Austria (BWB) – July 7, 2025
- Poland (PCA) – July 16, 2025
- Colombia – July 18, 2025
- Saudi Arabia (GAC) – August 8, 2025
- United States (FTC) – August 29, 2025
- Turkey (Competition Board) – September 18, 2025
- Austria – Foreign Investment Control – July 30, 2025
The final European Commission approval under the EU’s Third Country Subsidies Regulation (2022/2560) remains pending.
Conditions imposed by Austrian Takeover Commission
The approval includes several conditions to safeguard minority shareholder interests, such as immediate reporting of merger completion, publication of control change, and transparency on any related-party transactions between BAIH and Pierer-linked entities until December 31, 2026.
BAIH has notified PMAG that it expects to complete all remaining conditions by November 10, 2025, and plans to exercise its call option to acquire the remaining 50,000 shares in Pierer Bajaj AG, achieving sole control over PIERER Mobility AG.
