StructureFlow Buys Blue J Diagramming + Tim Follett Interview – Artificial Lawyer

StructureFlow, the pioneering visual modelling system, has acquired Blue J Diagramming, a visualisation tool used by accountancy and tax experts. The software-only deal will see StructureFlow add this new capability to what it offers already, while the wider Blue J company will continue as usual after the divestment. For those who have not seen it yet, StructureFlow creates diagrammatic representations of complex corporate structures, transactions, and processes. It can produce transaction step plans, process maps and timelines. Until now the company has been mostly focused on working with lawyers.

Meanwhile, the acquisition includes ‘over 300 specialised tax diagram templates from Blue J Diagramming, seamlessly integrated into the StructureFlow platform’.

The deal follows StructureFlow’s 2024’s $6m Series A funding and also strengthens its position in the North American market. Plus, clearly it will now have a much wider client base.

Why do the deal?

The diagrams that StructureFlow enables users to create – Structure Charts, Steps Plans, Timelines, Process Maps – are universal across the professional services. Using visuals to communicate complex concepts is not unique to legal. 

Law firms form part of an ecosystem with Tax and Accounting, Corporate Advisors, Private Equity, Consultants, Bankers and more to facilitate business on behalf of corporates. These different industries are tightly intertwined, and the work they do has a degree of overlap.

By moving to serve Tax & Accounting use cases, we are covering another part of this ecosystem – it’s less about moving “beyond legal”, to simply supporting another part of the professional services workflow.

Tax Advisory is also somewhere where we’ve had strong organic pull – we work with several accounting firms already, including top 10 firms in the UK, and are in active conversations with many others. 

How did the two companies get to know each other? Was it a trade sale?

The acquisition was privately arranged between myself (Tim) and Blue J’s CEO Benjamin Alarie. We originally met for lunch in London before Christmas 2024 and formed a good relationship.

For Blue J, this divestment is part of a larger strategic shift to focus on its generative AI solution for tax research, while for StructureFlow it greatly strengthens our footprint in North America. The transaction simply makes sense and enables both of us to work towards our strategic goals.

There is a good cultural alignment between our two businesses, and the makings of a strong partnership. We both have a strong ethos of client service, and are striving to deliver the best technology for our clients, solving genuine pain points.

Will you work with Blue J (the remaining bit), if so, how?

There is certainly the potential for future opportunities to partner with Blue J as they develop their AI tax research product. Nothing is set in stone, and we may be biased, but we feel like complex tax advice in any form can benefit from visuals to support understanding!!

What staff will come over to SF, or is it just a tech deal? And will it keep the same brand name?

The acquisition is for Blue J’s diagramming clients and technology – no staff are coming over to StructureFlow.

Blue J’s clients will be migrated to StructureFlow’s best-in-market diagramming application, and the Blue J Diagramming application will be turned off at some point later in 2025. 

Finally, how are things with SF?

Things are going very well at StructureFlow. We started 2025 in our strongest ever position, off the back of huge success in 2024.

Our Series A last April has dramatically accelerated our expansion into the US – which was one of our main stated aims of the fundraise. We had a great year on the new business front, including over a dozen new AMLAW 200 clients. We’ve also invested heavily in our team in North America to support our growing US client base, with 3 Client Success and 3 Salespeople covering the territory today.  

This acquisition is one of many exciting projects that StructureFlow is exploring this year, and we hope to be able to share more of our successes in the coming months.
